Terms of Service

These Terms of Service ("Terms") govern your use of vantagegoods.co (the "Site") and the services offered by Vantage Goods LLC ("Vantage Goods," "we," "us," or "our"), a limited liability company registered in the State of Wyoming, USA, with its registered address at 30 N Gould St Ste R, Sheridan, WY 82801, USA. By using the Site or engaging our services, you agree to these Terms.

1. Our Services

Vantage Goods provides ecommerce and digital marketing services, including:

• Design, development, and launch of ecommerce stores and websites;
• Paid social media advertising management (including campaign setup, creative production, media buying, and optimization);
• Ecommerce strategy and growth consulting.

We also operate our own portfolio of ecommerce brands. Those stores have their own terms and policies published on their respective websites.

2. Client Engagements

Client work is performed under a written agreement, proposal, or statement of work ("Engagement Agreement") that defines the scope, deliverables, timeline, and fees for the project. If there is a conflict between these Terms and an Engagement Agreement, the Engagement Agreement controls for that project.

3. Fees and Payment

• Fees are set out in the applicable Engagement Agreement or invoice.
• Unless otherwise agreed, invoices are due within the payment period stated on the invoice.
• Work may be paused on accounts with overdue balances until payment is received.
• Advertising spend paid to platforms (e.g., Meta, TikTok) is separate from our service fees and is billed by those platforms directly unless otherwise agreed in writing.

4. Cancellations and Refunds

• Either party may terminate an ongoing engagement with written notice as specified in the Engagement Agreement (or, if not specified, with 14 days' written notice).
• Fees for work already performed, and third-party costs already incurred on your behalf, are non-refundable.
• Prepaid fees for work not yet performed at the time of cancellation will be refunded on a pro-rata basis, unless the Engagement Agreement states otherwise.
• Refund requests should be sent to contact@vantagegoods.co; we respond within 5 business days.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate information, timely feedback, and access to accounts or assets reasonably needed for the work;
• Hold the rights to any content, trademarks, or products you ask us to use or promote;
• Use our deliverables in compliance with applicable laws and platform policies (including advertising platform rules).

6. Intellectual Property

Upon full payment, deliverables created specifically for you under an Engagement Agreement are assigned to you, except for third-party materials (such as licensed fonts, stock assets, themes, or software) which remain subject to their own licenses, and our pre-existing tools, know-how, and processes, which we retain. The content of this Site is owned by Vantage Goods LLC and may not be reproduced without permission.

7. No Guarantee of Results

Marketing and ecommerce outcomes depend on many factors outside our control, including market conditions, platform algorithms, and product-market fit. We perform our services with professional skill and care, but we do not guarantee specific revenue, sales, advertising performance, or other business results.

8. Limitation of Liability

To the maximum extent permitted by law, Vantage Goods LLC's total liability arising out of or related to the Site or our services is limited to the amount you paid us for the services giving rise to the claim in the three (3) months preceding the event. We are not liable for indirect, incidental, consequential, or punitive damages, or for lost profits or revenue.

9. Site Use

You agree not to misuse the Site, including by attempting to disrupt its operation, scraping it at scale, or submitting unlawful, deceptive, or malicious content through our contact form.

10. Privacy

Our collection and use of personal information is described in our Privacy Policy.

11. Governing Law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Wyoming, unless an Engagement Agreement provides otherwise.

12. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
